Determining reasonable and transparent compensation for directors is one of the good corporate governance practices to not only preserve the benefits of the shareholders but also retain and motivate qualified directors to perform their duties effectively and responsibly. The Thai Institute of Directors (Thai IOD) has made available the Directors Compensation Best Practices since 2010 to assist the board of directors in determining reasonable directors compensation packages. Also, the types and amount of compensation for directors should be comparable with those offered by peer companies in the same industry sector.
Thai IOD realizes the importance of compensation information for corporate directors and thus has undertaken the Directors Compensation Survey of Thai listed companies in the Stock Exchange of Thailand (SET) and Market for Alternative Investment (MAI). The Directors Compensation Survey contains the types and amount of compensation for SET and MAI directors and guiding opinions for deciding such compensation. The information herein can be used as references by the board of directors and, particularly, the Remuneration Committee of companies participating in the survey in proposing appropriate compensation for their directors for shareholders’ approval at the annual general meeting – a compensation determination process that is effectively transparent.
This publication of the 2014 Directors’ Compensation Survey of Companies listed on the Stock Exchange of Thailand 2014, is the 5th such report published by the Thai Institute of Directors Association (Thai IOD). The first report was published in 2001 and every 2 years thereafter.
