A new Act, the Juristic Persons Act B.E. 2560, imposing new criminal liabilities on directors has been issued and became effective on February 11, 2016. This Act effected similar changes to 76 other Acts and pieces of legislation.

We examine how this new Act affected the criminal liability of Directors and what are the best practices for Directors for both private company and publicly listed companies to follow to ensure full compliance of this new Act and the changes it brought about.
