CG News Update : Board Diversity and Overboarding among Hot Shareholder Topics for 2016
CFO (March 8) is reporting that BDO USA has compiled a list of topics that corporate boards should be prepared to address in connection with their 2016annual meetings. Among them is board diversity. The SEC, which has indeed started looking into existing company disclosures on board diversity, may consider a mandatory requirement for businesses to provide more specific information about the racial and gender composition of their boards. Overboarding will also be a hot subject. The National Association of Corporate Directors reports that public company directors spend an average of 278 hours a year for each board served -- a 46 percent increase from just a decade ago (191 hours). "Given this trend," CFO notes, "beginning in 2017, proxy advisory firms ISS and Glass Lewis have each indicated that they will oppose non-executive directors with more than five board seats."
Why Your Board Should Care About Sustainable Development
Awareness and interest in embracing the new United Nations-approved Sustainable Development Goals (SDGs) at the board level might be more prevalent than mid-level managers think, reports GreenBiz (March 1, Jorgenson). The newly released Global Opportunity Report 2016 shows that 32 percent of chief executives polled were "aware" of the SDGs, while another 23 percent say that they are "fully aware" and are planning a response. On the downside, awareness levels and planning preparedness seems to decline down the management chain, with just 5 percent of mid-level management being fully aware and planning a response to the SDGs.
